PILOT DECISION OF THE CONSTITUTIONAL COURT ON THE PROTECTION OF RECEIVABLES AGAINST INFLATION: A NEW INTERPRETATION OF THE PROPERTY RIGHT

In its pilot judgment dated 08.07.2025 (Application No. 2024/41763), the Constitutional Court ruled that the loss of value of receivables due to inflation constitutes a violation of the right to property, identifying the issue as structural in nature. The Court also ruled that existing statutory interest rates were insufficient to remedy the actual loss, and that legislative measures were required to address the issue.

NEW PHASE IN CONSUMER RECONCILIATION MECHANISM

With the Regulation amendment dated 24 September 2025, the settlement process regarding administrative fines in consumer law has been restructured. The new regulation enables settlement commissions to be established not only at the central level but also within the provincial directorates of trade.

PUBLIC POSTING ON SOCIAL MEDIA AND THE PROTECTION OF PERSONAL DATA

The Law on the Protection of Personal Data No. 6698 does not require explicit consent for the processing of personal data if the data subject has made such data public. In judicial practice, this rule is subject to assessment in terms of purpose limitation. The Court of Cassation has ruled that it is unlawful for third parties to obtain and publish a photo belonging to a person who has shared it publicly on social media.

THE NOTIFICATION REQUIREMENTS UNDER THE SALE OF MOVABLES

The notification of defect is not subject to any formal requirement and may be proven with any means of evidence, including witness testimony. The Court of Cassation has consistently upheld this stance in its judgments. However, to avoid procedural disputes and for ease of proof, it is advisable to submit the notification of defect through a public notary.

INDEPENDENCE PRINCIPLE UNDER URDG 758

In this article, we address how standby letters of guarantee issued under URDG 758 operate in accordance with the principle of independence, whereby the guarantor undertakes the payment obligation solely based on the terms of the guarantee text and independently of the underlying contractual relationship. Within this framework, it is possible for the beneficiary to make partial payment demands and utilize the guarantee in stages.

AMENDMENTS TO THE REGULATION ON DISTANCE SALES CONTRACTS AND PROVISIONS REGARDING THE RIGHT OF WITHDRAWAL

The Regulation on Amendments to the Regulation on Distance Sales Contracts was published in the Official Gazette dated May 24, 2025, and numbered 32890; it expanded the scope of preliminary information regarding the right of withdrawal, removed consumers’ obligation to pay return costs when exercising the right of withdrawal, and included certain technological products within the scope of the right of withdrawal.

LAW NO. 7545 ON CYBER SECURITY

Law No. 7545 on Cyber Security, adopted on March 12, 2025 and published in the Official Gazette on March 19, 2025 (Issue No. 32846), aims to protect the Republic of Türkiye’s national assets in cyberspace against internal and external threats. The Law entered into force with the purpose of ensuring the protection of all entities operating in cyberspace—including public institutions, the private sector, professional organizations, and non-incorporated entities—against cyberattacks, reducing risks, and establishing a national cybersecurity framework under an institutional structure. Within this scope, the establishment of the Cyber Security Council and the formulation of strategic policies are also envisaged.

STAMP TAX DUTY IN CONSIDERATION OF CONTRACTS INVOLVING PENALTY CLAUSE

Stamp tax duty holds a significant place within the Turkish tax system and has been in effect since the 1800s. The Stamp Tax Duty Law numbered 488 (“SDL”), enacted in 1964, was introduced to ensure a more systematic and comprehensible application of this tax, and it continues to regulate key aspects today. However, in practice, certain legal terms and situations may give rise to uncertainties for taxpayers and contracting parties. One such area of ambiguity concerns the application of stamp duty to contracts that do not contain a monetary consideration but include penalty clauses.

APPLICATION OF STANDARD CONTRACTS FOR TRANSFERRING DATA ABROAD

With the amendments made to Türkiye's Personal Data Protection Law No. 6698, the transfer of personal data abroad has gained a more systematic and monitorable framework. Regarding standard contracts, which are one of the appropriate safeguards for transferring data abroad, various data flow scenarios have been published, and it has been stated that these contracts must be reported to the Authority. Additionally, with the announcement made on October 17, 2024, a “Standard Contract Notification Module”, which facilitates the notification process for data controllers, has been introduced.

WORK PRODUCED BY ARTIFICIAL INTELLIGENCE, COPYRIGHT AND THE CONCEPT OF OWNERSHIP

The works produced by artificial intelligence has brought discussions on whether artificial intelligence can be considered within the scope of ‘author’ in terms and whether it can benefit from the protection for patent and copyright. The regulations that artificial intelligence is subject to in terms of authorisation and copyright should be examined by comparing Foreign Legal Systems and Turkish Law. As a result of the analyses, it will be seen that there is no uniformity on this issue.

IS IT POSSIBLE TO SETTLE EMPLOYEE'S WAGE BY BARTER?

The employer may have receivables from the employee for various reasons, as well as debts to the employee other than wages. The employer has the possibility to barter its receivables against its debts to the employee within the legal limits. According to Article 407(2) of the TCO, “The employer shall not barter his receivables from the employee for his wage debt without the consent of the employee. However, the receivables arising from a judicially fixed damage caused by the employee may be bartered up to the seizable portion of the wage”.

PROPOSAL FOR THE LAW AMENDING THE TURKISH COMMERCIAL CODE AND SOME LAWS

The Law Proposal Amending the Turkish Commercial Code and Some Laws, which aims to implement legal regulations addressing various aspects such as the regulation of retail trade, consumer protection, product safety, and maintaining competition in line with developments in commercial life, including increasing penalties for price gouging and hoarding, has been approved by the Turkish Grand National Assembly's Committee on Industry, Trade, Energy, Natural Resources, Information, and Technology.

AMENDMENTS UNDER THE PERSONAL DATA PROTECTION LAW

Amendments on the Code of Criminal Procedure Law No. 7499 and Certain Laws was published in the Official Gazette dated March 12, 2024 which introduces significant amendments to the Law No. 6698 on the Protection of Personal Data. Considering these amendments as a whole, it is clear that the PDPL is aligned with the General Data Protection Regulation implemented in the European Union, and that transitional solutions have been developed to facilitate the work of internationally active data controllers.

The Communiqué sets the procedures and principles regarding the sale of shares of non-public private companies to qualified investors through capital increase without public offering on the Venture Capital Market, as well as liabilities and exemptions foreseen for such companies.

ELECTRONIC PRODUCT RECEIPTS IN LICENSED WAREHOUSING SYSTEM

The Licensed Warehousing System is the system in which the trade of agricultural products suitable for warehouse are carried out within the Licensed Warehouse Enterprises and through warehouse receipts representing the ownership of such products. The latest amendment on the "Regulation for Unlicensed Electricity Production in the Electricity Market" entered into force after being published in the Official Gazette dated 11.08.2022 and numbered 31920. According to the article 11 of the Regulation, the limit for unlicensed generation facilities whose production and consumption is connected at the same point has been increased to 25 kW (including 25 kW) from 10kW.

MANDATORY USE OF TURKISH LIRA IN MOVABLE SALE CONTRACTS

According to the Communiqué numbered 2022-32/66, payment obligations in movable sale contracts signed between persons resident in Turkey, with the exception of vehicles sale contracts, may still be determined in foreign currency whereas payments concerning those contracts shall be made in Turkish Lira.
